Description
An Independent Contractor Agreement is an agreement between two parties, the independent contractor and the recipient of services, the client. These relationships are very different than employment relationships and it’s important to have a proper agreement to prevent the forming of an employment relationship.
In this document, the parties are generally forming a relationship so that the contractor can perform a specific task. This 10-page lawyer-drafted agreement can be used for any type of contracting services, whether big or small. It is tailored for international situations where the contractor and client are from different countries. This contract sets the boundaries to the relationship and includes all important provisions, such as services, payment, ownership of work, confidentiality, term and termination. It includes optional provisions for non-competition, non-solicition, insurance, portfolio use, arbitration, etc. In addition, it covers all general contractual terms, such as jurisdiction and governing law, severability, waiver, force majeure and entire agreement.
